Terms of service
These terms govern the use of Granite by franchisor organizations and the people they invite. Read them together with our Privacy policy.
Who we are
Granite is operated by:
Granite Suite
In these terms, “Granite,” “we,” and “us” mean that company. The “Customer” is the organization that uses Granite, and “you” means the Customer and each person who uses Granite through it.
This agreement
These terms apply when the Customer signs an order for Granite, accepts these terms in the service, or uses Granite. If you accept them for an organization, you confirm that you are authorized to bind it. If the Customer has a separate signed agreement with us, that agreement controls where it conflicts with these terms.
The service
Granite is a web application for franchisor organizations and their franchise locations. It helps teams collect franchise sales reports, calculate royalties and fees from billing rules, issue invoices, take card and bank payments through Stripe (including autopay), track franchise documents, sync invoices to QuickBooks Desktop, and follow up on unpaid or missing work. Franchises can also keep price lists, send estimates their customers can sign online, and schedule appointments and crews.
We may improve, change or retire features. We will not materially reduce the core service during a paid term without notice.
The free calculators and guides on our website give general estimates and information. They are not financial, legal, tax or accounting advice.
Accounts and access
- Each person signs in with their own Granite account. Do not share accounts or sign-in details.
- Keep your sign-in details secure and your account information accurate.
- Tell your organization administrator and us right away if you believe someone has used your account without permission.
Organization administrators
The Customer’s organization administrators decide who can use its workspace. They are responsible for:
- Inviting people and giving each the right role and franchise access.
- Changing or removing access when someone’s responsibilities change or they leave.
- Setting up billing rules, payment destinations, late-payment policies and document requirements.
The Customer is responsible for the actions of the people it gives access to.
Customer responsibilities
- The Customer decides what it bills. It is responsible for making sure its billing rules, royalty and fee amounts, late fees, interest and credits match its franchise agreements and the law.
- The Customer reviews reports, billing previews and invoices before it issues them, and decides whether a report, invoice or document is correct and sufficient.
- The Customer is responsible for the accuracy of Customer data and for having the right to upload it, including franchise details, sales reports, customer records and feedback.
- The Customer and its franchises are responsible for the prices, terms and taxes on their estimates, for having the right to email their own customers, and for deciding whether an electronic signature collected in Granite meets their needs and the law that applies to them.
- The Customer handles its relationship with its franchisees, including questions and disputes about invoices, payments, refunds and taxes.
- The Customer maintains its own Stripe account and, if it uses QuickBooks sync, its QuickBooks company file, the Windows computer that runs it, and its backups.
Acceptable use
You agree not to:
- Use Granite for anything unlawful, fraudulent or deceptive.
- Upload data you do not have the right to use, or files that contain malware.
- Try to access another organization’s data or any account you are not authorized to use.
- Probe, scan or test the security of the service, or get around access controls.
- Overload the service or access it with automated tools in ways that affect other users.
- Copy, resell or reverse engineer the service, except where the law allows it.
- Send unwanted or abusive messages through the service’s email features.
Customer data and ownership
- The Customer owns the data it puts into Granite, including franchise details, sales reports, documents, customer records, billing rules and invoices (“Customer data”).
- The Customer gives us permission to host, process, copy and display Customer data only as needed to provide, secure and support the service.
- We own Granite, including its software and design. These terms do not transfer those rights.
- If you send us suggestions, we may use them without obligation to you.
Our Privacy policy explains how we handle personal information.
Payments through Stripe
- The Customer connects its own Stripe account and chooses which payment destination each fee uses. Franchisee payments go to that account.
- Franchisees pay invoices by card or bank account on Stripe-hosted Checkout. Payment details are entered with Stripe, never on Granite.
- A franchise can set up autopay, and a Customer can require it for franchises it adds after turning that requirement on. Autopay authorizes the Customer to take the franchise’s invoice payments from its saved card or bank account through Stripe on or after each invoice’s due date. If a payment fails, it may be tried once more. The franchise gets an email before each payment and can turn autopay off in Granite unless the Customer requires it.
- Granite is not the merchant, is not a party to those payments, and does not hold funds.
- Stripe’s own terms and fees apply to each Stripe account.
Fees for Granite
The fees for Granite, the billing period and the payment terms are set out in the Customer’s order. Fees do not include taxes; the Customer pays any taxes that apply, other than taxes on our income. Granite bills the Customer, not its franchisees. If fees are overdue, we may suspend the service after giving notice and a reasonable chance to pay.
QuickBooks sync and other services
QuickBooks Desktop and Enterprise sync is included with Granite. It runs through LedgerSpoke (or Conductor, where configured) and Intuit Web Connector on the Customer’s Windows computer. Connecting QuickBooks authorizes us to exchange the related invoice, payment, customer and item data with that computer through the connector. Granite syncs issued invoices and payments; it is not a general ledger.
Granite relies on Stripe, Cloudflare, Resend, LedgerSpoke, OpenAI and TypeSafe AI, Inc. (Jev) to provide parts of the service. Their services are governed by their own terms, and we are not responsible for outages or changes outside our control.
Availability and support
We work to keep Granite available and reliable, but we do not promise uninterrupted service. Maintenance, provider outages or events outside our control may affect availability. We will try to give notice of planned maintenance that affects normal use.
For support, ask your organization administrator or use our contact form at https://www.marblecrm.com/contact/. To help with a support request, a Granite platform administrator may open a support session. Support sessions need a recorded reason, are read-only, end after 15 minutes, and are logged.
Confidentiality
Each party will protect the other’s non-public business information with reasonable care and use it only for the purposes of these terms. This does not apply to information that is public, already known to the receiving party, independently developed, or lawfully received from someone else. A party may disclose information when the law requires it, with notice to the other party where allowed.
Disclaimers
To the extent the law allows, Granite is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose or non-infringement. Granite is a franchise reporting and billing tool. It is not a general ledger and does not give legal, tax or accounting advice.
Calculations depend on the rules and data the Customer enters.
Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue, arising from these terms or the service.
Each party’s total liability under these terms is limited to the fees the Customer paid for Granite in the 12 months before the event that led to the claim.
These limits do not apply to fraud, willful misconduct, the Customer’s payment obligations, a party’s indemnity obligations, or liability that cannot be limited by law.
Indemnity
The Customer will defend us against third-party claims arising from Customer data, from the Customer’s use of Granite in breach of these terms, or from the invoices, fees and payments the Customer bills to its franchisees, and will pay the resulting costs and damages. We will defend the Customer against third-party claims that Granite, as we provide it, infringes their intellectual property rights, and will pay the resulting costs and damages. The party seeking defense must give prompt notice and reasonable help, and let the other party control the defense.
Suspension and termination
- The Customer may stop using Granite at any time. Fees already committed in an order remain payable.
- We may suspend access if needed to address a security risk, a serious breach of these terms, overdue fees, or a legal requirement. We will give notice when practical and restore access once the issue is resolved.
- Either party may end these terms if the other seriously breaches them and does not fix the breach within a reasonable time after notice.
- When these terms end, access ends. We will give the Customer a reasonable opportunity to request a copy of its Customer data, and then delete it as described in our Privacy policy.
Sections that by their nature should continue after termination will continue, including ownership, fees owed, confidentiality, disclaimers, limitation of liability and indemnity.
Changes to these terms
We may update these terms. We will revise the date at the top and, for significant changes, tell organization administrators by email or in the service before the change takes effect. Continuing to use Granite after that means the Customer accepts the updated terms. If the Customer does not agree, it may stop using Granite.
Governing law
These terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. Disputes arising from these terms or the service are heard only in the state or federal courts located in New York, and each party consents to their jurisdiction. Either party may still seek urgent relief to protect its confidential information or intellectual property in any court with jurisdiction.
General
These terms, the Customer’s order and our Privacy policy are the whole agreement about Granite. If a provision is found unenforceable, the rest stays in effect. Neither party may assign these terms without the other’s consent, except as part of a merger or sale of the business. Failing to enforce a provision is not a waiver. Neither party is responsible for delays caused by events outside its reasonable control. We send notices by email to the Customer’s organization administrators or in the service; the Customer sends notices through our contact form.
